By accessing our website, requesting a demo, or licensing the RizeUP software, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Acceptance of Terms and Scope

RizeUP is a school and childcare operations management platform designed for educational institutions. By entering into a subscription agreement or utilizing our desktop/online applications, you represent that you have the legal authority to bind the respective school, daycare, or institution to these Terms.

2. License and Software Access

  • Grant of License: Subject to payment of applicable fees (including tier-based subscriptions and setup fees) and compliance with these Terms, DTBS grants your institution a non-exclusive, non-transferable, revocable license to access and use the RizeUP platform (desktop or online versions) for internal administrative purposes.
  • Restrictions: You agree not to: 
    • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the RizeUP software.
    • Rent, lease, lend, sell, sublicense, or distribute the platform to unauthorized third parties.
    • Use the software to store or transmit malicious code, malware, or unlawful content.

3. Accounts, Security, and Subscriptions

  • Account Responsibility: Schools are responsible for maintaining the confidentiality of all administrative and user credentials. You are fully responsible for all activities that occur under your institutional accounts.
  • Pricing and Tiers: RizeUP packages (Starter, Growth, Plus, Pro, Enterprise) are structured around student volume tiers, setup fees, and billing cycles (monthly or annual prepay) as detailed on our solutions page. All pricing is specified in Guyana Dollars (GYD). Fees are non-refundable except as explicitly stated in writing.

4. Intellectual Property Rights

All rights, title, and interest in and to the RizeUP platform, including source code, design elements, databases, text, graphics, and logos (belonging to DTBS or its licensors), remain the exclusive property of Digital Transformation Business Solutions. Your use of the software does not grant you any ownership rights.

5. Limitation of Liability

To the maximum extent permitted by applicable law, DTBS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or institutional disruption arising out of or related to your use of—or inability to use—the RizeUP platform, even if advised of the possibility of such damages. Our total cumulative liability shall not exceed the total subscription fees paid by your institution to DTBS in the twelve (12) months preceding the claim.

6. Disclaimer of Warranties

The RizeUP platform and website are provided on an “as-is” and “as-available” basis. DTBS expressly disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the software will be uninterrupted, error-free, or completely secure.

7. Modifications to Terms

We reserve the right to modify or update these Terms at any time. Notice of significant modifications will be communicated via the website or directly to active institutional administrators. Continued use of RizeUP following any changes constitutes your acceptance of the revised Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Guyana, without regard to its conflict of law principles. Any legal disputes arising from these Terms shall be resolved in the courts of Guyana.
